IAS MAKES NO WARRANTY THAT THE WEBSITE OR SOFTWARE WILL MEET USER'S REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Limitation of Liability

IAS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE WEBSITE OR SOFTWARE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES. IAS IN NO EVENT SHALL IAS'S TOTAL LIABILITY TO USER FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT EXCEED THE AMOUNT PAID BY USER TO IAS FOR THE USE OF THE WEBSITE OR SOFTWARE DURING THE 12-MONTH PERIOD PRIOR TO THE CLAIM.

Indemnification

User agrees to indemnify, defend, and hold harmless IAS and its affiliates, directors, officers, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with User's use of the website or software or User's breach of this Agreement.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located in Dallas County, Texas.

Entire Agreement and Amendments

This Agreement, together with our Privacy Policy, constitutes the entire agreement between User and IAS regarding the use of the website and software. This Agreement may not be amended or modified except in writing signed by both parties.

Assignment and Transfer

User may not assign or transfer any rights or obligations under this Agreement without the prior written consent of IAS. IAS may assign or transfer this Agreement or any rights or obligations hereunder without notice or consent.

Severability and Waiver

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by either party to exercise any right or remedy under this Agreement shall not constitute a waiver of that right or remedy.
